THE HEADINGS USED WITHIN THIS TERMS OF SERVICES AGREEMENT ARE ONLY INCLUDED STRICTLY FOR THE PURPOSES OF CONVENIENCE AND TO PROVIDE AN EASIER UNDERSTANDING THROUGH A MORE SIMPLIFIED MEANS OF NAVIGATION FOR THE USER AND WILL NOT LIMIT OR OTHERWISE AFFECT THESE TERMS. 

THE FAILURE OF PULLKINGZ, LLC. TO EXERCISE OR ENFORCE ANY RIGHT OR PROVISION OF THESE TERMS OF SERVICE SHALL NOT CONSTITUTE A WAIVER OF SUCH RIGHT OR PROVISION AND ANY POLICIES OR OPERATING RULES DISPLAYED BY PULLKINGZ, LLC. ON THIS SITE, OR IN RESPECT TO SERVICE, CONSTITUTES THE ENTIRE AGREEMENT AND UNDERSTANDING BETWEEN PULLKINGZ, LLC. AND THE USER, AND GOVERN HIS/HER USE OF THE SERVICE, SUPERSEDING ANY PRIOR OR CONTEMPORANEOUS AGREEMENTS, COMMUNICATIONS AND PROPOSALS, WHETHER ORAL OR WRITTEN, BETWEEN PULLKINGZ, LLC. AND THE USER (INCLUDING, BUT NOT LIMITED TO, ANY PRIOR VERSIONS OF THE TERMS OF SERVICE). 

ANY AMBIGUITIES IN THE INTERPRETATION OF THESE TERMS OF SERVICE SHALL NOT BE CONSTRUED AGAINST THE DRAFTING PARTY. THESE TERMS OF SERVICE AND ANY SEPARATE AGREEMENTS WHEREBY PULLKINGZ, LLC. PROVIDES, SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE UNITED STATES.

The www.pullkingz.com store is hosted by Shopify, Inc, which provides Pullkingz, LLC with the online, e-commerce platform that allows us to sell our products and services to dually qualified consumers.

Just as Pullkingz, LLC. requests that its Terms of Service be adhered to by its users, it is the legal obligation of Pullkingz, LLC. to abide by the Terms of Service set out by Shopify, Inc., which can be found at the following link: https://www.shopify.com/legal/terms. As long as Pullkingz, LLC. remains under a contractual agreement with Shopify, Inc., Pullkingz, LLC. makes no exceptions, whatsoever, under any circumstances to deviate away from continuing to carry out such obligations. Therefore, by agreeing to these Terms of Service, you are also expressly agreeing that you agree with the Terms of Service of Shopify, Inc. as it pertains to third party consumers.

Pullkingz, LLC. reserves the right to refuse any order an individual and or entity placed through the means of www.pullkingz.com, or any other extension (collectively), including but not limited to trade shows and brick and mortar. Pullkingz, LLC. may, in its sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include but are not limited to orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address.

Pullkingz, LLC. may make available certain products and or services that are exclusive to www.pullkingz.com, and or any of its extensions (collectively), including its brick-and-mortar retail store. Pullkingz, LLC. reserves the right to make such decisions on product and service exclusivity based on its sole discretion.

Additionally, Pullkingz, LLC. reserves the right to limit the sale of its products and services to any person, geographic region, or jurisdiction and may exercise such right on a case-by-case basis. • Committing or contributing to any and all malicious acts, deemed as such by the sole discretion of Pullkingz, LLC., that would essentially constitute a cyber-attack with the intent to cause harm and destruction to Pullkingz, LLC. *

• The sale, transfer, or fraudulent use of your name, username, identity, membership, or profile that is associated with pullkingz.com and any of its extensions (collectively).
• Using a purchasing agent, whether be an individual(s) or entity, to make purchases on your behalf through pullkingz.com, or any of its extensions (collectively).

*If at any point, a worm, spyware, virus, or any and all codes that can cause harm or destruction, both physically and intellectually to Pullkingz, LLC., the individual(s), entity, or organization found responsible will be subject to legal action, both criminally, and civilly, and such legal action will be carried out to the fullest extent of the law.

DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

Pullkingz, LLC. does not guarantee represent, claim, or warrant that the service it provides to its users will be uninterrupted, timely, secure, or error-free, nor shall such results that may be obtained from the use of the service be accurate or reliable. By and through this agreement of Terms of Services, the user hereby agrees to indemnify, defend and hold harmless Pullkingz, LLC. and any and all individual(s) and or entities, including but not limited to a parent company or subsidiaries (whether or not any existed at the time this agreement was made), affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party. 

SEVERABILITY 
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

Through this agreement, the user agrees and acknowledges that Pullkingz, LLC. provides use and access to such tools “as is” and “as available” without any warranties, representations, and or conditions of any kind, without any endorsement, thereby excusing Pullkingz, LLC. from any liability that may arise or relate to the use such third-party tools and or links. Use of such is at the sole responsibility and risk of the user and therefore the user should ensure that he/she is familiar with, understands, and approves of the terms in which the tools and or links are provided by the relevant third-party provider(s). If at any point in the future, Pullkingz, LLC., at its sole discretion, decides to implement and or offer new services and or features through www.pullkingz.com or any of its extensions (collectively), including the release of new tools and resources, such shall also be subject to these Terms of Service.

USER FEEDBACK & SUBMISSIONS

If, at the request of Pullkingz, LLC., the user send certain, specific submissions (i.e., contest entries), or without a request from us, the user send creative ideas, suggestions, proposals, plans, and or other content or materials, in which such communication of may include but is not limited to www.pullkingz.com, any of its extensions (collectively), by email, postal mail, facsimile, in person, or through any other means necessary, the user hereby agrees that Pullkingz, LLC., may at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium, any comments, information, material, or content transmitted and or conveyed to Pullkingz, LLC. The user further agrees that messages and comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website or extension of Pullkingz, LLC. The user may not use a false e‑mail address, pretend to be someone other than themself, or otherwise mislead Pullkingz, LLC. or third parties as to the origin of any comments. TERMINATION 
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either party. The user may terminate these Terms of Service at any time by notifying Pullkingz, LLC. that he/she no longer wishes to use the Services, or when he/she ceases using www.pullkingz.com and or any of its extensions (collectively). 

If at the sole discretion of Pullkingz, LLC. that the user fails, or Pullkingz, LLC. suspects that the user has failed, to comply with any term or provision of these Terms of Service, Pullkingz, LLC. also, may terminate this agreement at any time without notice and the user will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny the user access to our Services (whether in whole, or in any part thereof), including but not limited to the use of www.pullkingz.com, and any and all extensions (collectively), directly and or indirectly, associated or affiliated with Pullkingz, LLC.
